OVERVIEW This website is operated by Whitney Miller Yoga and Well-Being, LLC, doing business as Bind Yoga Collective (“we,” “us,” or “our”). We offer this website as a platform to share information, services, and digital tools with you, the user. Use of this site is subject to the terms, conditions, and policies outlined here.

ACCEPTANCE OF TERMS By accessing our website and/or purchasing a product or service from us, you agree to be bound by these Terms of Service (“Terms”), including any additional terms, conditions, and policies referenced herein or available by hyperlink. These Terms apply to all users of the site, including browsers, vendors, customers, and contributors of content.

Please read these Terms carefully before accessing or using our website. If you do not agree to all of the terms and conditions of this agreement, you may not access the site or use our services.

You represent that you are at least 18 years old. Individuals ages 16 and up may participate in classes or services only with the written consent of a parent or legal guardian, who must also agree to these Terms and sign a waiver on their behalf.

All prices for products and services—including memberships, class packs, workshops, and merchandise—are subject to change at any time without notice.

USER ACCOUNTS AND RESPONSIBILITIES When you create an account with us, you agree to provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of these Terms and may result in the immediate suspension or termination of your account.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account. This includes activity conducted through third-party platforms or social media integrations linked to our services.

You agree not to share your password with any third party and must notify us immediately if you suspect any unauthorized use of your account or a breach of security. We are not liable for any loss or damage arising from your failure to comply with these responsibilities.

You may not use a username that:

  • Belongs to another person or entity without appropriate authorization;

  • Infringes on any trademark or intellectual property rights;

  • Is offensive, vulgar, or otherwise inappropriate.

We reserve the right to refuse or reclaim usernames at our discretion.

THIRD-PARTY LINKS AND SERVICES Our website and services may include content, tools, or links to third-party websites, applications, or services that are not owned or controlled by Bind Yoga Collective.

GENERAL CONDITIONS We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

PAYMENT TERMS & BILLING POLICY

  1. Order Acceptance and Cancellation

    • We reserve the right to accept or refuse any order at our sole discretion. We may, without prior notice, limit or cancel quantities purchased per person, per household, or per order. These limitations may apply to orders placed under the same customer account, using the same credit card, and/or with the same billing and/or shipping address.

    • In the event we modify or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at the time of purchase.

    • We also reserve the right to limit or prohibit orders that, in our judgment, appear to be placed by dealers, resellers, or distributors.

    • By making a purchase, you agree to provide current, complete, and accurate information for all transactions. You agree to promptly update your account and billing details to ensure we can process your orders and contact you as needed.

    • We reserve the right to refuse or cancel an order if fraud or unauthorized activity is suspected.

  2. Accuracy of Information

    • We strive to present accurate, complete, and up-to-date information on our site. However, we do not warrant that the information available is free from errors or omissions.

    • Content on this site is provided for general informational purposes only and should not be relied upon as the sole basis for decision-making without consulting more accurate or timely sources.

  3. Payments

    • All purchases, including one-time orders and memberships, require valid payment at the time of transaction. We accept major credit and debit cards (including Visa, Mastercard, and American Express) and may offer third-party payment methods such as PayPal.

    • All payment methods are subject to verification and authorization by your financial institution. If authorization is not received, we are not liable for any delay or failure to fulfill your order.

  4. Membership Plans and Recurring Billing

    • Certain services may only be available through an active paid membership. Memberships are billed in advance on a recurring basis (e.g., monthly or annually), depending on the plan you select at checkout. Your membership will automatically renew under the same terms unless canceled by you or by us.

    • Cancellation Policy: You may cancel your membership at any time via your account settings or by contacting us directly. Cancellations will take effect at the end of your current billing cycle. No refunds will be issued for any remaining time in your billing period.

    • Billing Information: You are responsible for maintaining accurate billing information, including name, address, and a valid payment method. If automatic billing fails, we may issue an invoice requiring manual payment by a designated due date.

    • Changes to Membership Fees: We reserve the right to adjust membership pricing at any time. Any fee changes will take effect at the end of the current billing period. You will receive reasonable advance notice so you can cancel your membership if you do not wish to accept the new rate. Continued use of our services after changes go into effect constitutes agreement to the revised fee.

  5. Refund Policy

    • Unless required by law, all membership fees and payments are non-refundable. Any refund requests will be considered on a case-by-case basis and granted solely at our discretion.

SERVICE DESCRIPTION AND AVAILABILITY Bind Yoga Collective provides a range of wellness services including but not limited to: yoga, Pilates, Barre, workshops, private sessions, wellness events, and retail offerings. These services may be available in-person, online, or in hybrid formats, and may be offered on a one-time, recurring, or membership basis.

We make every effort to describe our services accurately and to keep class schedules, instructor listings, and other offerings up to date. However, all descriptions, schedules, and availability are subject to change without notice at our sole discretion.

We do not guarantee that all services, classes, instructors, or products will be available at all times. Class sizes may be limited, and availability may vary depending on demand, staffing, holidays, or unforeseen circumstances. We reserve the right to cancel or reschedule classes, events, or appointments at any time, including after a reservation has been made.

We also reserve the right to discontinue or modify any service, product, or feature without prior notice. We shall not be held liable for any loss, inconvenience, or damages arising from changes, cancellations, or interruptions in service.

Access to certain offerings may require an active membership, registration, waiver completion, or other prerequisites.

USER CONDUCT AND ACCEPTABLE USE By accessing or using the services provided by Bind Yoga Collective, you agree to engage respectfully and lawfully within our community spaces, both online and in person. You are responsible for your behavior, communications, and any content you may contribute through our services.

You agree not to use our site or services to:

  • Engage in any unlawful, harmful, fraudulent, or abusive activity;

  • Harass, threaten, intimidate, or harm instructors, staff, students, or others;

  • Disrupt class environments, events, or community experiences in any way;

  • Post, transmit, or distribute any defamatory, obscene, vulgar, or offensive content;

  • Impersonate any person or entity or misrepresent your identity;

  • Violate any applicable federal, state, local, or international laws or regulations;

  • Infringe on the intellectual property or privacy rights of others;

  • Introduce viruses, malware, or other harmful code into our systems;

  • Attempt to gain unauthorized access to other accounts, our platform, or any part of our service;

  • Record or livestream classes or events without express written permission.

We reserve the right to remove, suspend, or permanently terminate your access to our services if we determine, in our sole discretion, that your conduct violates these Terms or poses a threat to the safety, integrity, or experience of our community.

Bind Yoga Collective is committed to fostering an inclusive, respectful, and empowering environment. We ask that all participants—whether clients, guests, or staff—uphold these values in all interactions within our space.

INTELLECTUAL PROPERTY All content and materials made available through Bind Yoga Collective—including but not limited to our website, services, class designs, brand name, logos, taglines, written content, audio or video recordings, digital downloads, photographs, and overall look and feel—are the sole property of Whitney Miller Yoga and Well-Being, LLC d/b/a Bind Yoga Collective or its content providers.

These materials are protected under U.S. copyright laws and international intellectual property laws. You may not reproduce, copy, publish, modify, distribute, sell, or create derivative works from any part of our content without our prior written consent.

The Bind Yoga Collective name, logo, and other identifiers used in connection with our services may be considered common law trademarks. These identifiers may not be used by others in any way that could cause confusion, dilute our brand, or suggest affiliation without express written permission.

Unauthorized use of any intellectual property belonging to Bind Yoga Collective may result in legal action.

DISCLAIMER OF WARRANTIES Bind Yoga Collective provides its services, content, and products "as is" and "as available," without warranties of any kind—express or implied. We do not guarantee that use of our website or services will be uninterrupted, timely, secure, or error-free.

We make no warranty that the results obtained from use of the service will be accurate, reliable, or meet your expectations. You understand and agree that we may suspend or discontinue the website or any part of the service at any time, without notice.

To the fullest extent permitted by law, we disclaim all warranties—express or implied—including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, durability, title, non-infringement, or any warranty arising from course of dealing or usage of trade.

USER SUBMISSIONS & FEEDBACK If, at our request or voluntarily, you send us creative ideas, suggestions, proposals, plans, comments, testimonials, or other materials—whether through our website, social media, email, or otherwise—you agree that we may use, reproduce, modify, publish, distribute, and display such content without restriction and without obligation to compensate you.

We are under no obligation to:

  • Keep any submission confidential;

  • Pay for any submission;

  • Respond to any submission.

You agree not to submit content that violates the rights of any third party, including intellectual property, privacy, or publicity rights. Submissions must not contain unlawful, abusive, defamatory, obscene, or otherwise objectionable material, nor introduce viruses or harmful code.

You may not misrepresent your identity or use a false email address. You remain solely responsible for the content and accuracy of any submissions. We assume no liability for any content submitted by you or any third party.

ERRORS, INACCURACIES & OMISSIONS We make every effort to ensure the information provided on our website and services is accurate, complete, and current. However, occasionally there may be typographical errors, inaccuracies, or omissions relating to class descriptions, pricing, promotions, availability, or other content.

We reserve the right to correct any such errors or omissions and to update or change information at any time without prior notice—including after you have submitted an order or booking. We are not obligated to update information unless required by law.

Any date or update stamp applied on the website should not be interpreted as indicating that all information has been modified or updated.

PROHIBITED USES In addition to the responsibilities outlined in the User Conduct section, you agree not to use our site or services for any of the following prohibited purposes:

  • To violate international, federal, state, or local laws or regulations;

  • To infringe upon or violate our intellectual property rights or the rights of others;

LIMITATION OF LIABILITY In no event shall Whitney Miller Yoga and Well-Being, LLC d/b/a Bind Yoga Collective, its owners, officers, employees, instructors, affiliates, agents, service providers, or licensors be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to: loss of profits, loss of revenue, loss of data, personal injury, business interruption, or emotional distress, whether based in contract, tort (including negligence), strict liability or otherwise, arising out of or related to your use of—or inability to use—the service or any content, product, or service obtained through it, even if we have been advised of the possibility of such damages.

If, notwithstanding the above, we are found liable for any damages, our total liability shall not exceed the amount you have paid to us in the past twelve (12) months, or one hundred U.S. dollars ($100 USD), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

INDEMNIFICATION You agree to indemnify, defend, and hold harmless Whitney Miller Yoga and Well-Being, LLC d/b/a Bind Yoga Collective, and its owners, employees, contractors, instructors, agents, licensors, and affiliates from and against any and all claims, liabilities, losses, damages, expenses, and costs (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the website or services;

  • Your breach of these Terms or any related policy;

  • Your violation of any law or the rights of a third party;

  • Any content you submit, post, or share through our services.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate with our defense of the claim.

TERMINATION We reserve the right, in our sole discretion, to suspend or terminate your account, access to the website, or use of any of our services at any time and without prior notice if we believe you have violated these Terms of Service, engaged in behavior that is harmful, unlawful, or disruptive, or otherwise acted inconsistently with the spirit or intent of our offerings.

Termination may result in the immediate deactivation of your account and cancellation of any current or future access to memberships, classes, workshops, or digital content. We are not liable for any losses or damages resulting from such suspension or termination.

You may also terminate your relationship with us at any time by canceling your membership (if applicable), discontinuing use of the service, and contacting us in writing to formally close your account.

All provisions of these Terms that by their nature should survive termination shall do so. This includes, but is not limited to: intellectual property rights, disclaimers of warranties, limitations of liability, indemnification, and governing law.

PRIVACY POLICY Your use of our services is also governed by our Privacy Policy, which outlines how we collect, use, store, and protect your personal information. By using our website or services, you consent to the practices described in the Privacy Policy.

GOVERNING LAW These Terms of Service and any separate agreements through which we provide you services shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

SEVERABILITY If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. This shall not affect the validity and enforceability of any remaining provisions.

ENTIRE AGREEMENT These Terms of Service, along with our Privacy Policy and any additional terms referenced herein or provided at the point of service, constitute the entire agreement between you and Bind Yoga Collective and supersede all prior or contemporaneous communications and proposals, whether oral or written.

Any ambiguity in the interpretation of these Terms shall not be construed against the drafting party.

Waiver of Liability

This Informed Consent and Waiver of Liability ("Release") is a legal agreement between you, the participant, and Bind Yoga Collective, including its owners, instructors, employees, independent contractors, affiliates, and landlords ("Bind"). By registering for or participating in any classes, workshops, retreats, or wellness services (collectively, the "Offerings"), you acknowledge and agree to all terms below. If you do not agree to this Release, do not participate in the Offerings.

1. Acknowledgment of Risk & Voluntary Participation

You understand that participation in yoga, Pilates, movement, and wellness-based Offerings involves physical activity and, at times, physical contact. These activities carry inherent risks including, but not limited to: muscle strain, injury, pain, illness, psychological distress, disability, death, or property loss. You affirm that you are voluntarily participating with full knowledge of these risks and assume all responsibility for your health and well-being.

You also understand that participating in in-person Offerings may expose you to contagious illnesses, including but not limited to COVID-19, which could result in serious illness or complications. You voluntarily assume this risk.

2. Not a Substitute for Medical Care

You acknowledge that Bind’s Offerings are not a substitute for medical examination, diagnosis, or treatment. You are solely responsible for determining whether you are physically, mentally, and emotionally fit to participate. If you are pregnant, postpartum, recovering from surgery, or managing a medical condition, you confirm that you have consulted a physician and have full clearance to participate.

3. Waiver & Release of Liability

To the fullest extent permitted by law, you release, waive, and discharge Bind Yoga Collective and its representatives from any and all claims, demands, damages, or legal actions resulting from your participation in the Offerings—whether caused by negligence or otherwise. You agree not to sue or bring claims against Bind or any of its instructors, employees, contractors, or affiliates.

4. Health Declarations

By participating in the Offerings, you affirm that:

  • You do not have any medical conditions that would prevent your safe participation.

  • You are not currently experiencing symptoms of illness (e.g., fever, cough, shortness of breath).

  • You have not recently been exposed to a known case of a contagious illness.

  • You will follow all applicable health guidelines, studio rules, and safety protocols.

5. Indemnification

You agree to defend, indemnify, and hold harmless Bind and its representatives from any claims, costs, or legal actions arising out of your participation in the Offerings, including but not limited to claims related to your own negligence or violation of this agreement.

6. Personal Property & Children

Bind is not responsible for lost, stolen, or damaged personal items. The studio is not a licensed child care facility. If you bring a minor child with you to the studio, you agree that Bind is not responsible for any injury or incident involving that child.

7. Media Release

You grant Bind permission to use photographs or videos taken during classes or events for promotional use, including on social media, in email marketing, and on the website.

I do not consent to the use of my image for promotional purposes.

8. Governing Law & Legal Jurisdiction

This Release shall be governed by the laws of the Commonwealth of Massachusetts. Any legal dispute arising out of this agreement must be brought in a state or federal court located in Suffolk County, Massachusetts.

If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

9. Entire Agreement

This Release constitutes the entire agreement between you and Bind regarding your participation in the Offerings and supersedes any prior agreements or representations. It is binding on you and your heirs, legal representatives, and assigns.

BY CLICKING “I AGREE” OR PARTICIPATING IN ANY OF THE OFFERINGS, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THE TERMS OF THIS RELEASE. YOU RECOGNIZE THAT YOU ARE KNOWINGLY AND VOLUNTARILY WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO BRING A LAWSUIT AGAINST BIND YOGA COLLECTIVE.

If applicable, you represent that you are the lawful parent or guardian of the minor participant and have full authority to provide consent on their behalf. By accepting this waiver, you agree to all terms outlined in this Release as they apply to both you and the minor.
